Terms of Service

This page is a courtesy summary for orientation only. It is not binding and does not add to or alter the terms. The only binding version is the German Allgemeine Geschäftsbedingungen (AGB), in the version referenced in the individual offer. The contract language is German.

What the German terms cover

• B2B only: services are offered exclusively to businesses (entrepreneurs within the meaning of § 14 of the German Civil Code), not to consumers.
• Scope per offer: the individual written offer defines the deliverables, acceptance criteria, prices and timelines; changes go through documented change requests.
• Marketplace apps are separate: apps distributed through app marketplaces (such as the Atlassian Marketplace) are governed by the end-user terms presented in the respective marketplace before installation, the applicable platform terms, the respective privacy policy and mandatory law. These terms do not apply to them.
• Payment: unless agreed otherwise, 50 % on contract conclusion and 50 % on acceptance.
• Acceptance, warranty, liability: statutory German rules on acceptance and defects apply, with a twelve-month limitation period for defect claims and a liability clause that follows the established German model (unlimited liability for intent, gross negligence, personal injury, guarantees and product liability; capped at the foreseeable, contract-typical damage for slight negligence affecting essential duties).
• Rights and source code: on full payment the client receives a non-exclusive, perpetual right to use, operate, host and modify the project results for their own business purposes; project source files and documentation are handed over unless the offer says otherwise. Open-source components keep their own licences.
• Termination, hosting, confidentiality, force majeure: the German terms also cover termination and handover, hosting and third-party services, confidentiality and data protection (including a data-processing agreement where required by Art. 28 GDPR), and force majeure.
